- Pursuant to the provisions of Article 177 of the Enterprise Law 2020, the conditions for the establishment of a partnership must ensure the following conditions:
- A partnership must have at least 02 members who are common owners of the partnership, doing business together under a common name.
- Members of a partnership must be individuals and must be responsible with all their assets for the obligations of the partnership. Capital contributors can be individuals or organizations and are only responsible for the company's debts within the amount of capital committed to contribute capital.
- Individuals participating in the establishment of a partnership do not fall into cases that do not allow the establishment of enterprises by law.
- An application for registration of the establishment of a partnership is specified in Article 22 of Decree No. 01/2021/ND-CP, including the following documents:
- An application for business registration;
- Charter of the partnership company;
- List of members of the partnership;
- Copies of papers: Citizen's identity card or valid people's identity card or passport or other lawful personal identification of the members of the partnership;
(Copies of legal papers of foreign organizations must be consularly legalized for members of partnerships).
- Investment registration certificate in case the enterprise is established or participated in the establishment by a foreign investor or a foreign-invested economic organization.

- Currently, individuals and organizations can apply for the establishment of a partnership in person or by post to the Business Registration Office where the enterprise is headquartered or can submit it online at the National Business Registration Portal. Specifically:
- In case of direct registration of business establishment or submission of documents via postal service: Submit the application at the Business Registration Office where the enterprise's head office is located.
- In case of enterprise registration online using a public digital signature: The person submitting the application for establishment of an enterprise declares information, downloads an electronic document, and signs the business registration application for authentication according to the process on the National Business Registration Portal: //dangkytinhdoanh.gov.vn
- Within 3 working days, the business registration agency will review the validity of the application. In case the enterprise registration dossier must be returned, the agency must notify the applicant.
- If the enterprise registration application file is valid and eligible for a business license, the competent authority will issue an enterprise registration certificate.
- Expenses when conducting the establishment of a partnership at present, including:
- Business registration fee: 100,000 VND (Circular 47/2019/TT-BTC)
- Fee for publishing business registration contents: 100,000 VND.
- Fees for declaration and payment of license fees:
- The company's charter capital is less than 10 billion VND, the license fee is 2,000,000 VND/year.
- The company's charter capital is over 10 billion, the license fee is 3,000,000 VND/year, etc.
