1. What do businesses need to prepare before setting up an import-export company?

  • Select the location where the head office of the import-export company is located: The enterprise must choose the public address located in the territory of Vietnam, the address must be specified.
  • The name of the import-export company must not be duplicated: The name of the company must be fully structured, including the type of business and its own name.
  • Prepare capital and register charter capital
  • The company's legal representative: The enterprise must choose a person who is capable, experienced and well performs the responsibilities of the legal representative for the import-export company. The chairman and director may act as the legal representative of the company.
  • Choose the right business type: Enterprises choose one of the following types to register their business, including: private enterprise, joint stock company, one member limited liability company, limited liability company. limited liability company with two or more members, partnership

2. Process of setting up an import-export company

  • Step 1: Prepare the company registration documents
    • Dossier for registration of establishment of an import-export company includes: 
      • 01 Business registration application form;
      • 01 Document on the charter of the import and export company;
      • List of members or list of shareholders (for limited liability companies with 2 or more members and joint stock companies);
      • Copy of ID card/ CCCD/ Passport, enclosed with company registration license (if it is an organization opening a company);
      • Decision of the capital-contributing organization (for companies with capital-contributing organizations);
      • Power of attorney for Thinh Tri Law if the enterprise does not directly complete and submit the application.
  • Step 2: Submit application for company establishment
    • If the enterprise directly submits the application, the application can be submitted online or directly at the business registration office of the province or city where the company's head office is located.
  • Step 3: Get business registration results
    • After 3 working days from the date of submitting a valid application for establishment of an import-export company, the enterprise will receive a business license at the Business Registration Office. If the dossier is invalid, the agency will send a written notice to the enterprise to amend and supplement the dossier.
  • Step 4: Announce the business registration content
    • Enterprises must publish business registration information on the establishment of an import-export company on the national portal within 30 days from the date of receipt of the business registration certificate. The enterprise shall pay the fee and send a written request for announcement of business registration contents to the Business Registration Office where the enterprise has registered.
  • Step 5: Complete the conditions and apply for an import and export license as prescribed.
    • Depending on the industry or product that the business conducts import and export, the company needs to meet its own requirements. Enterprises must complete the conditions and carry out procedures to apply for a license to be eligible for import and export in accordance with the provisions of law.   • Pay tax after establishing an import-export company
    • License tax: Import-export companies must pay license tax within 30 days from the date of issuance of the business registration certificate.
    • Value added tax: Enterprises will pay according to the reporting quarter.
    • Corporate income tax: Paid after the end of the fiscal year.
    • Export tax (For exporters): Enterprises will pay when exporting goods.
    • Import tax (For importing enterprises): Enterprises will pay when importing goods.
